These Terms of Service ("Terms") govern your access to and use of ProxyData.io and related online services (collectively, the "Services") operated by the ProxyData.io team ("ProxyData", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Intellectual property
The Services, including text, graphics, logos, layouts, and software, are owned by ProxyData or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. Except where allowed by applicable law, you may not copy, modify, distribute, sell, or create derivative works from our proprietary materials without prior written permission.
User content
If you submit feedback, comments, or other materials to us ("User Content"), you grant us a worldwide, royalty-free license to use, host, reproduce, modify, and display that content for the purpose of operating and improving the Services. You represent that you have the rights to grant this license and that your User Content does not violate third-party rights or law.
Disclaimer of warranties
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CONTENT IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE, OR THAT ANY PROVIDER IS SUITABLE FOR YOUR NEEDS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PROXYDATA OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY), OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnity
You will defend, indemnify, and hold harmless ProxyData and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of third-party rights.
Copyright complaints
If you believe material on the Services infringes your copyright, please send a notice to the contact channel on our Contact page with: identification of the copyrighted work, identification of the allegedly infringing material and its location on the Services, your contact details, a statement of good-faith belief that use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you are the copyright owner or authorized to act on their behalf. We may remove or disable access to material in accordance with applicable law.
Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or harms other users, us, or third parties, or for operational reasons.
Changes to these Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Material changes may be highlighted on the Services. Your continued use after the effective date constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules that would apply another jurisdiction's laws. Subject to mandatory consumer protections in your place of residence, you agree that exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Services will lie in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there. If you are a consumer in the EEA, UK, or Switzerland, you may also have the right to bring proceedings in your country of residence.
General
These Terms, together with the Privacy Policy and other policies referenced herein, constitute the entire agreement between you and ProxyData regarding the Services and supersede prior agreements on the subject. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
